Terms of Service
The agreement between your business and NumbersOne.
1. Agreement
These Terms of Service govern your use of the NumbersOne platform, websites and applications. By creating an account or using the service you agree to them on behalf of yourself and the organisation you represent. If you do not agree, do not use the service.
2. The service
NumbersOne provides telephone numbers, outbound and inbound VOIP calling, hosted PBX functionality, messaging and related management tools. Specific entitlements — numbers, included minutes, extensions and features — are set by the plan you purchase and shown in your account.
3. Accounts and eligibility
You must be at least 18 and legally able to enter a contract. You are responsible for the accuracy of your registration details, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us immediately of any unauthorised use.
4. Acceptable use
You must not use the service to transmit unlawful, harassing, fraudulent or deceptive content; to send unsolicited bulk calls or messages; to spoof caller identity in a misleading way; to conduct traffic pumping, artificial inflation or revenue-share fraud; to breach any telecommunications regulation applicable to you; or to resell the service without a written reseller agreement. We may suspend service immediately where abuse threatens network integrity or a third party.
5. Emergency calling
VOIP emergency calling differs from traditional telephony. It depends on power, internet connectivity and the registered service address being accurate and current. You must register and maintain a correct physical address for each user and inform every user of these limitations. NumbersOne is not liable for the inability to reach emergency services where these conditions are not met.
6. Numbers
Telephone numbers are assigned, not sold. You do not own a number, and assignment is subject to the rules of the relevant national numbering authority. Numbers may be reclaimed following non-payment or prolonged inactivity. Porting in and out is supported subject to the receiving carrier's process and any regulatory eligibility requirements.
7. Fees, billing and taxes
Subscription fees are billed in advance and usage in arrears. Prices exclude taxes, levies and regulatory surcharges, which are added where applicable. Invoices are due on receipt unless credit terms have been agreed in writing. Late amounts may accrue interest at 1.5% per month and can result in suspension after written notice.
8. Trials and refunds
Trial accounts are provided as-is and may be limited in capacity and destinations. Subscription fees are non-refundable except where required by law or where we fail to meet a contracted service level, in which case the remedy is a service credit as set out in the applicable SLA.
9. Service levels and availability
Target availability is stated in your plan — 99.9% on Starter, 99.95% on Business and 99.99% on Enterprise, measured monthly and excluding scheduled maintenance announced at least 72 hours in advance. Service credits are the sole remedy for missed targets.
10. Intellectual property
The platform, software, documentation and marks are owned by NumbersOne and its licensors. You are granted a non-exclusive, non-transferable right to use them for the term of your subscription. You retain all rights in your own content, recordings and data.
11. Confidentiality and data
Each party will protect the other's confidential information with at least reasonable care. Our handling of personal data is described in the Privacy Policy, which forms part of these terms. Where we process personal data on your behalf we do so as a processor under a data processing addendum available on request.
12. Suspension and termination
You may cancel at any time from your account portal, effective at the end of the current billing period. We may suspend or terminate for material breach, non-payment after notice, or where required by law or a regulator. On termination you may export your data for 30 days, after which it is deleted.
13. Warranties and disclaimers
We provide the service with reasonable skill and care. Beyond that, and to the extent permitted by law, the service is provided “as is” without implied warranties of merchantability or fitness for a particular purpose. We do not warrant uninterrupted or error-free operation of the public internet or third-party carrier networks.
14. Limitation of liability
Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data. Our aggregate liability in any 12-month period is limited to the fees you paid in that period. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
15. Indemnity
You will indemnify NumbersOne against claims arising from your unlawful use of the service, your content, or your breach of these terms.
16. Changes
We may update these terms. Material changes are notified to account administrators at least 30 days in advance. Continuing to use the service after the effective date constitutes acceptance.
17. Governing law and disputes
These terms are governed by the laws of the State of California, excluding its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
